Scope
Insider Atlas tracks two public SEC data sets and reads them through the academic literature:
- Form 4 — transaction-level reports that officers, directors, and 10% owners must file within two business days of trading their own company’s stock (Section 16).
- Form 13F-HR — quarterly long-position snapshots from institutional managers with ≥$100M in 13(f) securities, arriving up to 45 days after quarter-end (Phase 3).
The site’s core mechanic is cluster detection — three or more insiders at the same company trading the same direction in the same week — because that construction has the strongest and longest-running empirical support in the insider-trading literature (Lakonishok & Lee 2001; Cohen, Malloy & Pomorski 2012). What this site is not
This is not investment advice. Nothing here is a recommendation, a signal, a prediction, or an offer to buy or sell any security. The site is descriptive: it reports what was filed, when, by whom, and what peer-reviewed research has found about similar patterns historically. Historical association is not future performance, and most published anomalies decay after publication (McLean & Pontiff 2016).
In particular: an insider selling is usually not news. Executives sell to diversify, pay taxes, and fund their lives; the literature consistently finds average sales have little documented return association.
Data and licensing
- All data comes from SEC EDGAR, which is public domain under SEC dissemination policy.
- Every transaction preserves its accession number and links to the original filing.
- The site is a static build; the normalized JSON snapshots are committed in the open in the project repository.
- Fonts are Source Sans 3, Source Serif 4, and IBM Plex Mono, self-hosted under the SIL Open Font License.
Status
The project ships in phases. Currently the dashboard renders synthetic sample data (clearly badged) while the real EDGAR ingestion pipeline comes online. Committed daily snapshots begin replacing the sample in Phase 2.
